TERMS OF SERVICE (TOS) – PULSE

1. Acceptance of Terms

By accessing the PULSE application (hereinafter the "WebApp"), you agree to be bound by these Terms of Service (TOS).

If you do not accept these terms, you must not use the WebApp.

Conseil SNDGK Inc. reserves the right to modify these TOS at any time. The applicable version is the one published at the time of use.

2. Nature of Service and Professional Use

PULSE is a smart outreach assistance tool using artificial intelligence technologies to analyze websites and public profiles and suggest commercial approaches.

The WebApp is intended exclusively for professional and commercial use.
By using the WebApp, the user declares to act within the scope of their professional or commercial activities.

The WebApp constitutes a decision support tool. It does not provide any legal, financial, or strategic advice.

3. Access and User Account

Access requires creating an account via a third-party provider (e.g., Clerk).

The user is responsible for:

  • The confidentiality of their credentials;
  • All activity performed via their account;
  • The accuracy of the information provided.
Conseil SNDGK Inc. may suspend, restrict, or terminate any account in case of violation of these TOS.

4. Authorized and Prohibited Use

The user agrees not to use the WebApp to:
  • Send communications in violation of applicable laws, including the Canadian Anti-Spam Legislation (CASL, S.C. 2010, c. 23);
  • Harass, threaten, or defame;
  • Impersonate a third party;
  • Conduct fraudulent or illegal activities;
  • Automate massive spam;
  • Bypass technical limitations;
  • Proceed with any reverse engineering;
  • Scrape data in violation of third-party platform conditions.
The user is solely responsible for compliance with CASL, including obtaining prior consent from recipients of commercial communications.

The user remains solely responsible for complying with the rules of the platforms from which they retrieve data.

5. Trial Plan – Three (3) Offered Analyses

Upon creating an account, the user benefits from three (3) free analyses.

These analyses:

  • Are offered only once;
  • Are not transferable or cumulative;
  • Do not constitute a subscription.
Once the three analyses are used, access to analysis functionalities is suspended until a paid subscription is started.

No automatic billing is performed without explicit consent.

6. Abuse Prevention and Pseudonymized Identifiers

To prevent multiple accounts and protect the service's economic model, Conseil SNDGK Inc. may generate a technical identifier derived from the email address provided during registration, using a secure cryptographic process.

This identifier:

  • Constitutes a pseudonymization measure;
  • Is used exclusively for security and fraud prevention purposes;
  • Is not used for marketing purposes.
Any attempt to bypass the Trial Plan limitations constitutes a material violation of these TOS.

In case of abuse, Conseil SNDGK Inc. may suspend or terminate any account without refund.

7. Intellectual Property

All elements of the WebApp (code, algorithms, architecture, brands, interfaces) are the exclusive property of Conseil SNDGK Inc.

Any reproduction, modification, or reverse engineering is strictly prohibited.

8. Ownership of Generated Content

The user remains the owner of the content they generate.

Conseil SNDGK Inc. may process this content only:

  • For service operation purposes;
  • For service improvement purposes in an anonymized manner.

9. Nature of Artificial Intelligence

The user acknowledges that:

  • AI technologies may produce errors or inaccurate information;
  • "Hallucinations" may occur.
The user remains solely responsible for the validation, adaptation, and use of generated content.

10. No Warranty

The service is provided "as is".

No commercial results are guaranteed.

11. Pricing and Payment

Payments are processed via Stripe.

Subscriptions:

  • Are automatically renewed;
  • Can be canceled at any time via the billing portal.
Any month started is due and non-refundable.

12. Limitation of Liability

To the maximum extent permitted by Quebec law:

  • Conseil SNDGK Inc. shall not be liable for indirect damages, loss of profits, data, or opportunities.
  • Total liability shall not exceed the amount paid during the twelve (12) months preceding the dispute.

13. Indemnification

The user agrees to indemnify and defend Conseil SNDGK Inc. against any claim resulting from:

  • Their use of the service;
  • Violation of these TOS;
  • Sending of commercial communications;
  • Any violation of anti-spam laws;
  • Any violation of third-party platform rules.
This obligation survives termination.

14. Termination and Data Deletion

The user can terminate their subscription at any time.

Conseil SNDGK Inc. may suspend or terminate access without notice in case of violation of the TOS.

No refund will be due in case of termination for abuse.

The user may also request the permanent and irreversible deletion of all their personal data directly from the WebApp interface. This deletion takes effect immediately. Post-termination retention conditions are detailed in our Privacy Policy.

15. Protection of Personal Information (Law 25)

Data may be processed by third-party providers (Clerk, Convex, Stripe, AI providers).

16. Force Majeure

Conseil SNDGK Inc. is not responsible for interruptions caused by events beyond its reasonable control.

17. Arbitration

Subject to mandatory applicable provisions, any dispute shall first be submitted to an amicable resolution attempt by written exchange for a period of thirty (30) days. Failing amicable resolution, the dispute shall be submitted to final and confidential arbitration administered in accordance with the Arbitration Rules of the Canadian Commercial Arbitration Centre (CCAC). Arbitration shall be held in Quebec, in French. Arbitration costs shall be allocated in accordance with the arbitrator's decision.

Conseil SNDGK Inc. may however seek injunctive relief to protect its intellectual property rights.

18. Individual Dispute Resolution

To the extent permitted by law, any proceeding must be brought on an individual basis.

The parties agree to prioritize individual and amicable resolution of any dispute. The user agrees to submit any claim individually and to first resort to the arbitration procedure described in article 17 before any judicial action.

19. Applicable Law and Jurisdiction

These TOS are governed by the laws of Quebec and the federal laws of Canada.

20. Entirety and Language

If a clause is invalid, the others remain in effect.

TERMS OF SALE (TOS) – PULSE

These Terms of Sale (TOS) govern the contractual relations between the company Conseil SNDGK Inc. (hereinafter "the Seller" or "PULSE") and any natural or legal person acting within the scope of their professional activity (hereinafter "the Customer") wishing to subscribe to the services offered on the PULSE website or application.

1. Subject

These TOS aim to define the conditions under which the Seller provides the Customer with access to the PULSE WebApp services, including strategic analysis tools and outreach suggestions based on artificial intelligence.

2. Acceptance of Conditions

Any order or subscription implies the Customer's full and unreserved adherence to these TOS. These TOS supplement the Terms of Service (TOS/CGU).

3. Nature of Services

PULSE offers access in SaaS (Software as a Service) mode. Features include, but are not limited to:
  • Analysis of websites and public profiles.
  • Generation of personalized prospecting suggestions.
  • Prospect history management.

4. Pricing and Currencies

Prices are indicated in Canadian dollars (CAD) or according to the currency displayed during the transaction, excluding applicable taxes. Conseil SNDGK Inc. reserves the right to modify its prices at any time. The applicable price is the one in effect on the day of order validation or subscription renewal.

5. Payment Terms

Payment for services is made exclusively by credit card via the secure payment provider Stripe.
  • The subscription is payable in advance (period payment).
  • The Customer guarantees that they have the necessary authorizations to use the chosen payment method.

6. Duration and Renewal

Subscriptions are concluded for a fixed term (monthly or annual) according to the chosen offer.
  • Automatic renewal: At the end of each period, the subscription is automatically renewed for an identical duration, unless terminated by the Customer before the expiration date.
  • Termination: The Customer can end their subscription at any time via their personal area or the Stripe billing portal. Termination takes effect at the end of the current billing period.

7. Right of Withdrawal and Refund

Given the professional nature of the services and the provision of instant digital content:
  • No right of withdrawal applies once service access is provided.
  • No refund (partial or total) will be granted for a subscription period started, even if the Customer does not use the service.
  • The Trial Plan (3 offered analyses) allows the Customer to test the service before any financial commitment.

8. Service Access

Service access is effective upon validation of payment by Stripe. The Seller strives to ensure 24/7 service availability, subject to maintenance periods or technical failures beyond its control.

9. Liability and Warranty

PULSE is a decision support tool. The Seller does in no way guarantee:
  • A particular response rate or commercial success.
  • The absence of errors or AI hallucinations.
The Seller's liability is limited to the amounts paid by the Customer during the last twelve (12) months.

10. Intellectual Property

The subscription confers a personal, non-exclusive, and non-transferable right of use for the WebApp. Conseil SNDGK Inc. remains the owner of all code, algorithms, and service structure.

11. Applicable Law and Disputes

These TOS are subject to Quebec law and applicable federal laws of Canada. In case of dispute, the parties agree to seek an amicable solution before submitting the dispute to arbitration or to the jurisdiction of the courts of the Seller's registered office.
